Instructor Agreement
By signing up as a Instructor on Apercu Certification & Education (ACE) you agree to the below:
This Agreement (hereinafter referred to as “Agreement”) is made and entered into as of the Effective Date by and between Apercu Certification & Education (ACE), a division of Apercu (Registration Number: K2023950268), located at 5 Ross Road, Darren WoodJohannesburg (hereinafter referred to as “ACE”), and the Instructor (hereinafter referred to as “Instructor”), whose details are specified in the registration process.
WHEREAS, ACE provides a Learning Management System (LMS) and platform to host and manage online courses related to industry-specific certifications and compliance;
WHEREAS, the Instructor desires to utilize the ACE platform to create, manage, and monetize educational content related to their area of expertise;
NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the Parties hereto agree as follows:
1. Instructor Responsibilities
(a) The Instructor agrees to create and upload course content, including videos, quizzes, assessments, and other learning materials, as per the chosen onboarding and setup plan. (b) The Instructor will maintain the accuracy and relevance of the course content and ensure that it complies with industry standards and regulations. (c) The Instructor agrees to respond promptly to learner inquiries and support requests related to course content.
2. ACE Responsibilities
(a) ACE will provide the necessary tools and support to host and manage courses on the LMS platform. (b) ACE will maintain the platform’s technical stability and performance, ensuring minimal disruptions to the Instructor’s courses. (c) ACE will handle payment processing and revenue distribution to the Instructor according to the chosen plan.
3. Onboarding Options and Fees
Instructors may select one of the following onboarding options:
- Self-Managed: No setup fee, unlimited course uploads, 50% revenue share.
- Assisted Setup – Basic: R 1,500 onboarding fee, up to 5 lessons and 1 quiz, 50% revenue share.
- Assisted Setup – Standard: R 3,000 onboarding fee, up to 10 lessons and 3 quizzes, 50% revenue share.
- Assisted Setup – Advanced: R 6,000 onboarding fee, up to 20 lessons and 5 quizzes, 50% revenue share.
- Assisted Setup – Premium: R 12,000 onboarding fee, up to 50 lessons and 10 quizzes, 50% revenue share.
- White-Label Solution: Custom branding and theming, dedicated LMS platform, API integrations, R 1,500.
4. Revenue Sharing and Payment
(a) The Instructor shall receive 50% of the net revenue generated from course sales. (b) Payments to the Instructor will be processed monthly and will reflect the revenue generated from course enrollments within the previous period. (c) All applicable taxes and deductions will be accounted for prior to payout.
5. Intellectual Property
(a) The Instructor retains ownership of their original course content but grants ACE a non-exclusive, royalty-free license to host and distribute the content on the platform. (b) The Instructor agrees not to distribute the same content on competing platforms without written consent from ACE.
6. Course Maintenance and Updates
(a) The Instructor is responsible for ensuring that the content remains up-to-date and accurate. Updates should be made as industry standards evolve. (b) ACE reserves the right to remove or suspend outdated or non-compliant content.
7. Termination
(a) Either party may terminate this Agreement by giving a thirty (30) days’ written notice to the other Party. (b) Upon termination, all revenue due up to the termination date will be paid to the Instructor.
8. General Provisions
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of The Republic of South Africa.
- Entire Agreement: This Agreement constitutes the entire agreement between the Parties.
- Amendments: No amendment to this Agreement will be effective unless made in writing and signed by both Parties.
- Severability: If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
